M&A Integration Accelerator
Gaine provides a unique integration service to reduce risk and accelerate the time-to-value both before, and following an acquisition. The Gaine Integration service is built on the widely deployed MDX technology and a proven methodology used by some of the worlds largest organizations to accelerate their acquisition integration.

Clean Room Assessment
Gaine provides a “clean data room” in which we integrate and analyze trading partner information from both buyer and target to produce an accurate picture of the combined customer base and
supply chain should the transaction be completed.
This analysis is performed with minimal input from either party and data can be provided to Gaine in almost any format with no changes to IT systems of either the buyer or target companies.
Analysis results are provided to the buyer in accordance with the prevailing regulatory guidelines and agreed deal terms.
First 100 Days “Soft Integration”
Gaine leverages its MDX data integration platform to integrate key business data across disparate enterprise applications. The MDX platform and related business analytics enables the buyer to analyze the combined enterprise without the need to change operational applications. Analysis arising from this “soft” integration depends on the deal strategy but may include trading partner analysis to identify immediate improvements in sales force alignment, purchase pricing, supplier risk, AR and credit risk.
In addition, strategic planning activities derive great value from the combined view of key enterprise information. The integration in the first 100 days is tailored to focus on the areas identified during deal planning as having the greatest potential for value creation.
Application Rationalization
Gaine provides an efficient and proven process to retire redundant applications and consolidate business data into new or remaining application systems. Any business optimization strategy that involves the consolidation of systems will benefit from the MDX-based migration service. MDX combines all of the hardware and software necessary to integrate information from multiple systems quickly and with the minimum disruption to the business.
Clean Room Assessment
A key source of frustration for companies making an acquisition is finding that they didn’t get everything they thought they were buying. Traditional diligence is unable to fully analyze the customer base or supply chain to fully understand the additive value to the buyer. As a result, the buyer often ends up over paying for access to new markets or suppliers.
By providing a detailed analysis of trading partners in a clean room, Gaine provides the buyer with detailed insights to ensure that the incremental value from customers or suppliers is fairly priced.
First 100 Days “Soft Integration”
Customers of the acquired entity are at their most vulnerable following an acquisition. FUD (fear, uncertainty and doubt) propagated by competitors can lead to customer defections before the new company has even introduced themselves. The Gaine MDX solution creates an integrated customer file that enables management to identify key customers and create an effective communications strategy to minimize defections.
On the supply chain side, low-hanging fruit in the form of operational synergies are not recognized and leveraged immediately following an acquisition. The virtual integration of key enterprise data quickly highlights opportunities for procurement leverage.
Application Rationalization
The time taken to integrate company operations can delay the realization of value. The Gaine MDX solution accelerates the rationalization of operational systems and therefore maximizes the benefits of the acquisition.
